9.45: Session one: M&A disputes and joint ventures

Arbitration is proving ever-more popular as the chosen method to resolve M&A and joint venture disputes. And many pre/post M&A undertakings are being breached or disputed between Turkish and international partners, with many joint ventures heading into arbitrations.

Our distinguished panel will discuss issues such as:

  • The effect and consequences of the different approaches of common law and civil law to M&A and Joint Ventures agreements in arbitration cases;
  • Damages in relation to M&A and Joint Venture disputes;
  • Pre-signing and pre-closing disputes: breach of confidentiality/exclusivity provisions, disputes arising out of letters of intent or term sheets, non-fulfilment of condition precedents (closing conditions), disputes relating to material adverse change (MAC) clauses;
  • Post-closing M&A arbitrations: price adjustment disputes, breach of representations and warranties.
